Dr Gero Kollmer

Gero Kollmer advises real estate funds, family offices, institutional investors and project developers on acquisitions, disposals and the structuring of holding vehicles. His practice focuses on the legal execution of complex transactions – from vendor/buy-side due diligence and SPA/APA negotiations through to closing – including share and asset deals, forward purchase and forward funding models, as well as related financing and security documentation. He also has particular expertise in private construction and architectural law, including HOAI and VOB/B frameworks, GU/GÜ and GMP/EPC contracts, claims management and occupational safety aspects (e.g. SiGe coordination).

In addition, he has recognised expertise in capital markets law. He advises asset management companies, fund managers and institutional investors on the structuring and launch of real estate funds, including the preparation of prospectuses, PRIIPs documentation and the implementation of regulatory requirements under, inter alia, the German Investment Code (KAGB) and AIFMD. This dual perspective – real estate law and financial markets regulation – enables him to guide clients seamlessly from fund structuring through to the transaction and ultimately to regulatory market placement.
